The LegisNation User Agreement

This User Agreement ("Agreement") is a legally binding contract between you ("User," "You," or "Your") and Path X Project, Inc., a corporation registered under the laws of Singapore, and any and all of its subsidiaries and affiliates ("The LegisNation," "We," "Us," or "Our").

By accessing, browsing, or using the The LegisNation platform, including any website, application, or service (collectively, the "Platform"), you acknowledge that you have read, understood, and agree to be bound by the terms and conditions of this Agreement. If you do not agree to these terms, you must not use or access the Platform.

1.0 Definitions

1.1 Platform: The AI and crowdsourcing platform known as The LegisNation, including all its features, content, and services.
1.2 User Content: All information, data, text, documents, draft bills, opinions, feedback, comments, and other materials submitted, posted, or uploaded by a User on the Platform.
1.3 Legislative Content: Any output generated by the Platform, including AI-generated draft bills, ordinances, and legislative outlines.
1.4 Administrator / Owner: Refers to The LegisNation and its parent company, and its directors, officers, employees, and agents.

2.0 Purpose of the Platform

The LegisNation is a civic-tech platform designed to facilitate public participation in lawmaking. It enables citizens, experts, and lawmakers to collaboratively draft, review, and comment on potential legislation. The Platform is a tool for discussion and idea generation and is not a substitute for legal advice, professional counsel, or the official legislative process.

3.0 User Account and Responsibilities

3.1 Account Creation: To access certain features of the Platform, you may be required to register for an account. You agree to provide accurate, current, and complete information and to keep your password secure.
3.2 User Conduct: You are solely responsible for all User Content you post and all activity that occurs under your account. You agree to use the Platform in a manner that is lawful and in accordance with this Agreement.

4.0 User Content and Intellectual Property

4.1 Public Domain and Common Knowledge: You understand and agree that the primary purpose of this Platform is to generate ideas for public consumption and discussion. By submitting User Content to the Platform, you declare that such content is intended for the public domain and becomes part of a collective, common intellectual property. You agree that you shall have no claim to exclusive ownership, license, royalty, or intellectual property rights over any User Content submitted, as it is intended to be freely used, modified, and built upon by other users and the public.
4.2 License Grant: By submitting User Content, you grant The LegisNation a perpetual, irrevocable, worldwide, royalty-free, non-exclusive, and fully sublicensable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform, and display such User Content (in whole or in part) and/or to incorporate it in other works in any form, media, or technology now known or later developed, for any purpose, without compensation to you.
4.3 No Confidentiality: You acknowledge and agree that any User Content you submit is not confidential and may be publicly displayed, used, or distributed by The LegisNation and other users.

5.0 Prohibited Conduct

5.1 Defamation and Slander: Posting any User Content that is false, malicious, defamatory, libelous, or slanderous against any person, entity, or group.
5.2 Hate Speech and Harassment: Posting any User Content that constitutes hate speech, harassment, threats, or incites violence or illegal acts.
5.3 Illegal Activities: Using the Platform to promote, facilitate, or engage in any illegal activity.
5.4 Intellectual Property Infringement: Submitting User Content that infringes on the copyright, trademark, patent, or any other intellectual property rights of any third party.
5.5 Impersonation: Impersonating any person or entity.
5.6 Spam or Malware: Uploading or transmitting any unsolicited or unauthorized advertising, promotional materials, or any material that contains software viruses or any other malicious code.

6.0 Disclaimers of Warranties

6.1 No Warranties: THE PLATFORM AND ALL CONTENT, INCLUDING USER CONTENT AND LEGISLATIVE CONTENT, ARE PROVIDED 'AS IS' AND 'AS AVAILABLE,' WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, THE LEGISNATION DISCLAIMS ALL WARRANTIES, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
6.2 No Guarantee of Accuracy: The LegisNation does not warrant that the Platform will be uninterrupted, error-free, or secure. We make no warranty as to the accuracy, reliability, or completeness of any content on the Platform, including AI-generated Legislative Content. All Legislative Content is for informational purposes only and does not constitute legal, financial, or professional advice. The LegisNation will not be held liable for any decisions made based on such content.

7.0 Limitation of Liability

7.1 No Criminal or Civil Liability: TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL THE LEGISNATION, ITS OWNER, DEVELOPERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH: THE USE OF OR INABILITY TO USE THE PLATFORM; ANY CONTENT POSTED BY USERS, INCLUDING DEFAMATORY, SLANDEROUS, OFFENSIVE, OR INFRINGING MATERIAL; THE ACTIONS OF OTHER USERS OR THIRD PARTIES, INCLUDING AI-GENERATED CONTENT; OR ANY DECISIONS MADE BASED ON CONTENT FOUND ON THE PLATFORM.
7.2 Use at Your Own Risk: You acknowledge and agree that your use of the Platform is entirely at your own risk. The LegisNation cannot and will not be held liable for any harm, loss, or damage arising from your use of or reliance on the Platform or the conduct of other users.

8.0 Indemnification

You agree to indemnify, defend, and hold harmless The LegisNation, its owner, developers, affiliates, officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, and expenses, including reasonable legal and accounting fees, arising out of or in any way connected with your access to or use of the Platform, your violation of this Agreement, or your submission of any User Content, including any claims of defamation, slander, or intellectual property infringement.

9.0 Privacy and Data Use

9.1 Confidentiality of Personal Information: User personal information such as contact number, email address, and precise location will remain confidential and will not be shared with other users or the public, except as required by law.
9.2 Use of Data for Analytics: You acknowledge and agree that The LegisNation may collect, process, and analyze personal information, demographics, location data, and activity data for purposes of analytics, research, service improvement, and policy insights.
9.3 Ownership of Analytics: All analytics, insights, statistical data, or aggregated information derived from user data shall be the exclusive property of The LegisNation and Path X Project, Inc., and may be used, published, or shared in anonymized or aggregated form without compensation to you.
9.4 Data Protection: The LegisNation employs reasonable administrative, technical, and organizational measures to safeguard user data. However, no system is fully secure, and The LegisNation shall not be held liable for unauthorized access or disclosure beyond its reasonable control.

10.0 Third-Party Services

The Platform may utilize or integrate with third-party services, such as OpenAI's API. The LegisNation is not responsible for the privacy practices or content of these third-party services. Your use of such services is subject to their respective terms and conditions.

11.0 Termination

The LegisNation reserves the right to suspend or terminate your account and access to the Platform at its sole discretion, without prior notice, for any reason, including but not limited to, a violation of this Agreement.

12.0 Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the Republic of the Philippines. Any dispute arising from or in connection with this Agreement shall be resolved exclusively by the courts of Muntinlupa City, Philippines, to the exclusion of all other courts.

13.0 Miscellaneous

13.1 Entire Agreement: This Agreement constitutes the entire agreement between you and The LegisNation concerning your use of the Platform.
13.2 Severability: If any provision of this Agreement is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that the remaining provisions remain in full force and effect.
13.3 No Waiver: No waiver by The LegisNation of any breach or default hereunder shall be deemed a waiver of any subsequent breach or default.
13.4 Force Majeure: The LegisNation shall not be held liable for delays or failures caused by events beyond its reasonable control.
13.5 Assignment: You may not assign this Agreement without prior written consent from The LegisNation. We may assign or transfer this Agreement freely.
13.6 Amendments: The LegisNation reserves the right to modify this Agreement at any time. Updates will be posted on the Platform and continued use of the Platform constitutes acceptance of the revised terms.
